The number one things are (in my idea):
1) What is your risk factor? (do you mind lost 20% in 6 month? how that will affect you? do you count on the money to buy bread, milk and house? One thing: be very careful when you invest the very hard earned money)
2) What is your time line? (how long you want to keep it invested?)
3) Do you have patience? (do you feel comfortable to watch your money lose 400$ per day for consecutive 3 days and do nothing? (I had that bad experience last month.)

U.S. seems to be a little behind. I first heard about it from some offerings in Canada.
These notes may also lack a secondary market. So if you want to cash out before the note matures, you may have to take a hit. (kind of like CDs).
I guess the bottom line: there's always the catch.
