You LD has to have a legal status to work for the new company. He could transfer his H1 there and he still has 2 years. However, even if his PERM LC and I140 pass (won't take long now), he can't submit I485 until the Visa Bulletin passes his Priority Date, which means he could not get his EAD. Currently, due to the retrogression, the Bulletin is in 2001. Nobody really knows when it will hit 2005. But I heard that once you submit your I140, you should be able to work without H1. I am not sure about this part. You'd better consult an attorney.
